Web Page Pros
Service Terms and
Conditions/ Sales Agreement |

The
following terms and conditions represent the service and sales contract
between Web Page Pros and persons who elect to order design services.
Please carefully read and understand these terms and conditions prior to
placing any order, as they constitute a binding legal
agreement. |
| GENERAL
|
| 1. You must be at least 18 years of age, or such
other age of legal majority in your jurisdiction, to order services from
Web Page Pros because you must be old enough to enter into contracts
in your own name as well as acquire or view adult graphics and images.
|
| 2. You are retaining the services of Web Page Pros,
and Web Page Pros provides those services, as an independent
contractor. Accordingly, all right, title and interest, including
copyright, in and to any designs created by Web Page Pros pursuant to
your contract vest in Web Page Pros, and shall remain with Web Page Pros, until such time as Web Page Pros has received full payment
for services rendered. Accordingly, Web Page Pros reserves the right
to hold your final designs until paymet funds have cleared. Upon receipt
of payment in full, Web Page Pros conveys to you all rights, including
copyright, in the designs created for you under this agreement.

| 3. Web Page Pros requires a 50% deposit prior to
commencing Design or Programming, services for all new clients without
exception. Only after a satisfactory business relationship has been
developed with a client will Web Page Pros allow payment terms of Net
30. |
| 4. Following your placement of a design or programming
order from Web Page Pros, but prior to delivery, you may desire to add
further design elements or order additional project design services from
Web Page Pros If such further design services increases the project price,
a revised work order will be prepared and approved by you, and the provisions
of section 3 above will apply to the revised order. |
| 5. Web Page Pros accepts the following forms of payment:
*Visa/Mastercard American Express* Online Checks, Money Order * Cashiers
Check * Direct Wire Transfer * |
| 6. Under no circumstances will Web Page Pros be
liable for any direct, indirect, incidental, consequential or punitive
damages resulting from your use of the design services, except for claims
which may arise from Web Page Pros infringement of a third partys
intellectual property rights in connection with design components created
or secured by Web Page Pros. To the extent that you supply Web Page Pros with any design elements, you agree to indemnify and hold
harmless Web Page Pros from and against any claim, loss or damage,
including its reasonable attorneys fees, resulting from the use of such
design element. You further agree to indemnify and hold harmless Web Page Pros from and against any claim, loss or damage, including its
reasonable attorneys fees, resulting from the content or intellectual
property appearing in, on or through your website or linked websites.

| 7. You represent and warrant that all models appearing in
any image appearing in, on or through your website, or in any image
supplied by you to Web Page Pros are eighteen years of age or older at
the time of image creation, and that you are in compliance with Title 18
Section 2257 regarding such images. |
| CUSTOMER SATISFACTION POLICY |
| 1. Any images you provide Web Page Pros are licensed
to you. Web Page Pros is dedicated to customer satisfaction. We hope
our record speaks for itself. There are no set rates or fees for
re-design work on completed designs; whether additional fees are
required for any given redesign is assessed on a case-by-case basis. But
we strive to satisfy our customers on time, the first time, and every
time. |
| 2. Upon completion of your design, you will be sent a
cropped image, or portion of your final design for adjustment,
correction and/or approval. We do not ask that you send in the balance of
your payment until you are satisfied with the samples provide to you.

| 3. In some cases, for instance: IF your design consists
of multiple images, Javascript or image-mapped graphics, you will be sent
a 'flat', non-functional picture of the overall design for your review
and/or approval as indicated above. |
| 4. In our attmept to satisfy our customers and transfer
their visions into real working designs, sometimes rework or partial
re-design of completed work is required. Web Page Pros maintains an
unparalleled standard for seeing your project through from conception to
final working design. You will never 'be stuck' with an image or design
that does not meet your expectations. |
| LATE PAYMENT AND
ASSESSMENT OF LATE CHARGES |
| 1. Upon ordering a site design or programming of any kind
of service from Web Page Pros you will made aware of what Payment Terms
that your project will be billed under. All later payment fees and charges
outlined below are/shall be applied after the INITIAL DUE DATE OF YOUR
STATEMENT/INVOICE upon completion of the job. |
| 2. After 30 Days past the due date of the initial invoice
and minimum late fee of $50.00 will be charged to your account plus a
monthly interest rate of 20.0% of the balance of your account since the
original invoice date. The balance of your account will continue to accrue
interest charges of 20.0% applied monthly as long as your account remains
overdue. |
